The Structure of an Investment Bank

Unit

An investment bank is not a single business but a collection of specialized divisions that serve distinct client needs. Understanding how these divisions are organized is the first step toward understanding how deals get done and how revenue is generated. The three primary business lines are investment banking (advisory), sales and trading, and asset management, though the specific structure varies by institution size and strategic focus.

The investment banking division, often called IBD, focuses on advising corporations, governments, and financial sponsors on mergers and acquisitions, capital raises, and restructurings. Within IBD, bankers are typically organized into two groups: coverage groups and product groups. Coverage groups are organized by industry, such as healthcare, technology, or energy, and maintain ongoing client relationships. Product groups specialize in specific transaction types, such as leveraged finance, equity capital markets, or restructuring, and are called in when a deal requires their particular skill.

Sales and trading operates separately from IBD and is responsible for executing transactions in public markets on behalf of institutional clients. Traders make markets in equities, fixed income, currencies, and commodities, while salespeople maintain relationships with institutional investors such as pension funds and hedge funds. Research analysts support both divisions by producing independent analysis of companies and sectors.

The separation between IBD and sales and trading is enforced by information barriers, commonly called Chinese walls, which prevent the flow of material non-public information between divisions. This separation is both a regulatory requirement and an ethical standard that protects clients and market integrity.

Support functions including compliance, legal, risk management, and technology underpin all business lines. Compliance teams ensure that bankers and traders operate within regulatory boundaries set by bodies such as the SEC and FINRA in the United States. Risk management monitors the bank's exposure to market, credit, and operational risks across all divisions.

Financial Formula
Revenue Mix Approximation
Total Bank Revenue = Advisory Fees + Underwriting Fees + Trading Revenue + Asset Management Fees

Where:

  • Advisory Fees: Success-based fees earned on M&A and restructuring mandates, typically a percentage of deal value
  • Underwriting Fees: Fees earned for distributing equity or debt securities to investors, often called the gross spread
  • Trading Revenue: Net gains from market-making activities, including bid-ask spreads and proprietary positioning
  • Asset Management Fees: Management and performance fees earned on assets under management
Regulatory Requirement

Regulation: SEC / FINRA (US)

The Gramm-Leach-Bliley Act repealed the Glass-Steagall separation between commercial and investment banking in 1999, allowing universal banks to operate both divisions under one roof. However, the Volcker Rule under the Dodd-Frank Act subsequently restricted proprietary trading by deposit-taking institutions, reshaping how trading revenue is generated and reported.

Quick Revision
  • Investment banks are organized into IBD, sales and trading, asset management, and support functions.
  • IBD contains coverage groups organized by industry and product groups organized by transaction type.
  • Information barriers separate IBD from trading to prevent misuse of non-public information.
  • Revenue streams include advisory fees, underwriting fees, trading income, and asset management fees.
  • Regulatory frameworks such as the Volcker Rule shape how each division operates and generates revenue.
